Fintel plc has acquired Mortgage Brain Holdings, a move that significantly consolidates the UK’s retail financial services infrastructure. By integrating mortgage sourcing and submission technology with its existing wealth management and data assets, Fintel is positioning itself to solve the persistent problem of fragmented data and disconnected workflows for multi-disciplinary financial advisers.

What was announced

Fintel’s acquisition of Mortgage Brain Holdings includes the core mortgage technology business as well as AE3 Media, which operates a portfolio of digital media and engagement platforms. The deal is designed to bolster Fintel’s Software & Data division, focusing on the digitisation of the mortgage journey—one of the most critical financial decisions for consumers.

Under the new structure, Zahid Bilgrami will continue to lead Mortgage Brain while taking on an expanded role as Chief Executive Officer of Fintel’s Software & Data division. This appointment marks a return for Bilgrami to Defaqto, a business he previously led for eleven years. Fintel has committed to material investment in Mortgage Brain’s technology, specifically targeting the development of AI solutions to streamline adviser workflows and enhance data connectivity.

The acquisition complements Fintel’s existing 49% stake in Plannr, a cloud-native financial planning CRM. A recent partnership between Mortgage Brain and Plannr already allows advisers to move from a client fact-find to a mortgage application within a single workflow. By integrating Mortgage Brain’s sourcing, criteria, affordability, and submission tools directly into its broader ecosystem, Fintel aims to eliminate the need for duplicate data entry across wealth, mortgage, and protection disciplines. This strategy targets the "re-keying" inefficiency that currently plagues advisers using legacy, disconnected systems.

"Our investment in Plannr reflected our conviction that wealth advisers deserve modern, flexible technology that supports the evolving needs of advice businesses. In a market dominated by legacy tech providers, Plannr has proven that advisers want modern connected systems and they want to own their own data. The acquisition of Mortgage Brain extends that strategy into the mortgage market and strengthens our ability to support the growing number of advisers delivering multiple advice disciplines through a single client relationship."

The companies involved

Fintel plc is a major provider of software, data, and support services to the UK retail financial services sector. The company operates across several divisions, providing compliance, regulatory, and technological infrastructure to thousands of intermediary firms. Its portfolio includes Defaqto, a prominent financial information business that provides ratings and insights to help consumers and advisers make informed decisions.

Mortgage Brain has been a fixture of the UK mortgage technology landscape for more than 40 years. It provides a suite of tools for mortgage intermediaries, including sourcing systems, criteria checking, and affordability calculators, as well as submission platforms that link advisers directly to lenders. Its acquisition brings deep industry relationships and a significant volume of transaction data into the Fintel ecosystem.

The deal also includes AE3 Media Ltd, a digital media company that provides engagement platforms and market insight for the financial services industry. By bringing these entities together, Fintel strengthens its position as a central hub for the data and software that powers the "interconnected" advice model, where a single firm manages a client's entire financial life across multiple product categories.

What FF News has reported before

FF News has closely followed Fintel’s expansion strategy within the fintech and regtech sectors. In March 2024, the company announced the Fintel Announces Acquisition of Fintech Provider ifaDASH, a move aimed at enhancing its regulatory and compliance automation capabilities for advisers.

Furthermore, Fintel’s subsidiary, Defaqto, has been active in the M&A market to broaden its data reach. FF News previously reported on how Defaqto Acquires Leading Market Pricing Business to Strengthen Financial Services and Insurance Insight. These prior moves underscore Fintel’s ongoing effort to build a comprehensive data-driven platform that spans the entire retail financial services value chain, from pricing and compliance to front-end advice technology.

What this means

This acquisition is a direct challenge to the legacy technology providers that have long dominated the UK mortgage and wealth sectors. By vertically integrating mortgage sourcing with a modern CRM like Plannr, Fintel is betting that the future of the industry lies in "all-in-one" ecosystems rather than best-of-breed silos. This puts significant pressure on standalone software providers who lack the scale to offer cross-disciplinary data connectivity. The move also highlights a shift in the market toward the "multi-disciplinary" adviser. However, the success of this strategy hinges on whether Fintel can truly eliminate operational friction across disparate platforms without compromising the specialist depth that Mortgage Brain’s users expect.
