Mr. Mark Palmer is a Co-Founder and serves as Partner at F2P Ventures. He serves as Chief Strategy Officer at Quility. He brings more than 25 years of proven experience in "special situations" investing, novel transaction structuring, and complex liability/crisis management. He has the multidisciplinary experience, having acted as a global distressed Alternative Investor, a leading corporate/restructuring Legal Adviser, and also a Venture Investor/ Entrepreneur. He began his career at Sullivan & Cromwell as a corporate and M&A associate. In 1998 he relocated to Palo Alto, CA and for several years enjoyed the role of an Entrepreneur/Venture Capitalist, serving as the EVP/co-founder at NextSet Software (a high-tech middleware and trading/order management applications company); as the Director of Strategic Transactions at Reuters/Reuters Venture Capital where he was involved in many notable investments; and as SVP/General Counsel for TIBCO Finance (as an Executive Committee member, overseeing Y2K compliance, strategic sales and the successful spin-off IPO of TIBCO Software). In 2001, he returned to the practice of law in New York City, representing private investment firms, financial institutions, and corporations on corporate restructuring, reorganizations, M&A, governance, takeovers, JVs, investments, and dispositions. He practiced with Stroock & Stroock & Lavan (as Partner in Corporate/Financial Restructuring); with Linklaters (as Partner and US Corporate Head in New York); and with Bracewell & Giuliani (Partner and Chair of the Private Investment Funds Practice/NY Corporate Head). In 2008 he joined his leading client, MatlinPatterson Global Investment Advisors (a $10+ billion global distressed private equity franchise), as an Investment Partner and Chief Structuring Officer. Mark Palmer was responsible for structuring all major investment and disposition transactions; evaluating and managing capital structure arbitrage plays; critical liability/crisis management involving Fund investments; and coordinating/overseeing targeted investments in the Media/Telco/Tech sector and those with "litigation/Creditor Committee" strategies. In 2016, he founded Theseus Strategy Group to provide his former colleagues and partners in the Special Situations community a tailored and high-impact service specifically geared to the unique needs of private investment funds and their portfolio companies/investments. Theseus offers a focused and comprehensive outsourced solution for complex transaction structuring and coordination; business transformation; crisis and liability/litigation and risk management; and event-driven trading analyses and strategy. Recently, he has focused on investments and business transformation opportunities that capitalize on his cumulative experience and vast network of advisory professionals, actively investing in and collaborating with founders and management teams to provide financial, operational, and strategic support on their business plans; to structure the investment transactions, and to refine and redefine their financial/operating plans and help them execute against those plans.less
