Stroock Advises Instinet in Purchase of BlockCross ATS from State Street

Stroock’s FinTech group, led by partner Ian DiBernardo and special counsel Jeffrey Mann, advised Instinet Holdings Incorporated in its acquisition of State Street’s BlockCross ATS, an industry leading alternative trading system (ATS).  The Stroock team also included associates Binni Shah and Adam Sapper.  The transaction, which closed on August 10, 2017, is the third in a series of transactions Stroock has handled for Instinet.  Terms were not disclosed.

Stroock’s FinTech team counseled Instinet in the preparation, negotiation and due diligence of vital intellectual property and information technology components.  The deal included complex technology, cybersecurity and business issues that were fundamental to the acquisition and the seamless transition of the ATS to Instinet.

The FinTech group, part of Stroock’s Intellectual Property and Technology group, leverages a deep experience in capital markets, funds, data security and privacy, corporate transactions, financial systems, intellectual property and technology, providing solutions to clients that license, fund, develop and market innovative financial technologies and services.  The FinTech group regularly applies its financial knowledge, together with its core intellectual property, information security, privacy and technology skills, to represent banks, broker-dealers, private equity and hedge funds, insurance companies and financial technology providers, offering a comprehensive service to those operating in or investing in the FinTech space.
